Terms of Service
1. Acceptance of Terms
By creating an account or using AIR, you agree to these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, you may not access or use the service. These terms constitute a binding legal agreement between you and Capital Reasoning Solutions.
2. Description of Service
AIR (Augmented Information Retrieval) is an AI-powered document search engine provided by Capital Reasoning Solutions. The service allows users to upload documents, search them using natural language queries, and receive cited answers drawn from those documents. AIR is available as a cloud service and as an on-premises deployment. The specific features and limitations of the service depend on your chosen plan.
3. Account Registration
To use AIR, you must create an account and provide accurate, complete, and current information. Each account is intended for use by a single person or legal entity. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Capital Reasoning Solutions immediately if you become aware of any unauthorized use of your account.
4. Acceptable Use
You agree not to use AIR to:
- Upload, process, or store any content that is illegal, harmful, or violates the rights of others
- Attempt to reverse-engineer, decompile, or extract the source code of the AIR software or its language model
- Exceed rate limits or programmatically access the service in ways that degrade performance for other users
- Share account credentials or allow unauthorized individuals to access your instance
- Use the service to develop a competing product
Capital Reasoning Solutions reserves the right to suspend or terminate accounts that violate these terms, with notice as described in Section 11.
5. Your Data
You retain full ownership of all documents and data you upload to AIR. Capital Reasoning Solutions accesses your data solely to provide and maintain the service. Your documents are not used to train or improve AI models, and are not shared with any third party. Capital Reasoning Solutions will not access your documents except as necessary to provide the service, respond to support requests you initiate, or comply with legal obligations.
6. Privacy
Your use of AIR is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using AIR, you consent to the data practices described in the Privacy Policy.
7. Payment Terms
Cloud plans are billed monthly or annually via Stripe. All paid plans include a 14-day free trial. A valid credit card is required to begin the trial, but you will not be charged until the trial period ends. You may cancel at any time before the trial ends to avoid charges.
All prices are listed in Canadian dollars (CAD) unless otherwise stated. Capital Reasoning Solutions may change pricing with at least 30 days written notice. Price changes will take effect at the start of your next billing cycle following the notice period.
8. Service Level
Capital Reasoning Solutions provides the cloud service on a best-effort basis. We will make commercially reasonable efforts to maintain service availability but do not guarantee uninterrupted or error-free access. Scheduled maintenance will be communicated in advance when possible. For enterprise customers, a separate Service Level Agreement (SLA) with specific uptime commitments may be negotiated.
9. Intellectual Property
Capital Reasoning Solutions retains all rights, title, and interest in the AIR software, including its search algorithms, user interface, and application code. Nothing in these terms grants you any right to the AIR software beyond the limited right to use the service during your subscription. You retain all rights, title, and interest in your documents and data.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Capital Reasoning Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the service.
Capital Reasoning Solutions' total aggregate liability for any claims arising out of or related to these terms or the service shall not exceed the total amount you paid to Capital Reasoning Solutions in the twelve (12) months immediately preceding the event giving rise to the claim.
11. Termination
Either party may terminate this agreement at any time. You may cancel your subscription via your customer portal or by contacting support.
Capital Reasoning Solutions may terminate your account for violation of these terms with at least 14 days written notice, except in cases of serious violations (such as illegal use), where termination may be immediate.
Capital Reasoning Solutions also reserves the right to cancel your plan at any time for any reason. If we cancel your plan, you will receive a refund covering the current month and all remaining months in your billing cycle.
Upon termination, your right to use the service ceases at the end of your current billing period (or immediately, in the case of a refunded cancellation by Capital Reasoning Solutions).
12. Data Deletion
After termination, your AIR instance remains accessible until the end of your current billing period. A 7-day grace period follows, during which you may reactivate your account or retrieve your data. After the grace period expires, all data — including documents, search indices, and account information — is permanently and irreversibly deleted from our systems.
13. Modifications to Terms
Capital Reasoning Solutions may modify these terms at any time. We will endeavour to notify you by email at least 30 days before changes take effect, though this may not always be possible. If you do not agree to the modified terms, you may cancel your subscription before the changes take effect. Continued use of the service after the effective date of any changes constitutes your acceptance of the modified terms.
14. Governing Law
These terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these terms shall be resolved exclusively in the courts of British Columbia, Canada.
